Terms of Sale (ToS)

These Terms of Sale (ToS) govern subscriptions to the Weesper Neon Flow application (Mac & Windows), offered by THE BLUE HOUSE (SASU), 7, rue d'Arsonval, 75015 Paris, France. Contact: hello@weesperneonflow.ai.
Important — Scope: No sale is concluded on the weesperneonflow.ai website; the site is informational and allows application download. Subscription purchase is exclusively made in-app. These ToS are provided in advance and apply to the contract concluded in the application.
1. Service Definition
Weesper Neon Flow is a voice recognition application allowing text insertion by voice in any application. Processing is 100% local on the user's device, without cloud usage. No personal/biometric data is transmitted to our servers via the application.
2. Compatibility – Technical Requirements
- Supported systems: macOS and Windows
- Minimum versions: macOS 15+; Windows 10/11
- Hardware: functional microphone; no internet connection required to use the application once installed (connection only needed to download, activate trial, and manage subscription)
3. Account, License and Usage Scope
- License: non-exclusive, personal, non-transferable, granted for the duration of the subscription
- Authorized devices: 2 devices per subscription/user. The deactivation procedure allows freeing a device to activate another
- Prohibited uses: unlawful use, infringement of third-party rights, resale or access sharing, reverse engineering, public benchmarks without our consent, bypassing security measures, overloading or disrupting systems
4. Offer, Price and Duration
- Free trial: 15 days. After trial, the user chooses: subscribe or cease (application stops working without subscription). No automatic charge at trial end.
- Price: €5/month (single price incl. VAT for B2C and B2B, taxes included where applicable). Price in euros; for purchases from another country, the bank/payment network may offer conversion and/or apply exchange fees.
- Duration & renewal: monthly subscription, tacitly renewable, no commitment
- Price/terms evolution: we may modify price/ToS with 30 days notice (email notification). The modification applies to the next billing cycle.
5. In-app Order and Contract Formation
The subscription is taken out in the application via a purchase flow summarizing price, duration, effective date and main conditions. The contract is concluded upon payment validation (after free trial if applicable).
6. Payment – Billing – Subscription Management (Stripe)
- Provider: payments processed by Stripe
- Payment methods: cards (Visa, Mastercard) and Apple Pay/Google Pay if available
- Invoices: electronic invoice available via Stripe Customer Portal (link accessible from app) and/or sent by email
- Payment failure: automatic retry attempts; failing success, 7-day grace period then access may be suspended until regularization
- No refund: except legal provisions, no refund for started monthly period (cancellation effective at end of current period — see art. 8)
7. Right of Withdrawal (Consumers – B2C)
- By default, distance selling contracts for services benefit from a 14-day right of withdrawal.
- Immediate execution of digital service without physical medium: by confirming subscription in the app, you request immediate service execution and acknowledge waiving the right of withdrawal in accordance with consumer law. In this case, no refund due after activation.
- If you do not wish to waive, you can wait for the legal period to expire before activating the subscription (the app will remain inactive outside free trial).
8. Cancellation by Customer ("3 clicks")
You can cancel anytime; cancellation effective at end of current monthly period. Dedicated feature accessible in app (Settings › Subscription) redirects to Stripe Customer Portal to manage subscription (cancellation, payment method update, etc.).
9. Updates, Availability and Support
- Updates: included during subscription (fixes and improvements; some updates may be necessary to maintain compatibility and security)
- Availability: best efforts obligation; no quantified SLA
- Support: email assistance at hello@weesperneonflow.ai; target response time: 2 business days
10. Data & Privacy
Voice and transcription processing is done on your device. No dictation data transmitted to our servers via the application. For details (technical logs from website hosting, website advertising tags and rights exercise), see Privacy Policy.
11. Third-party Components and Open Source Licenses
The application integrates Whisper.cpp (https://github.com/ggml-org/whisper.cpp), a C/C++ implementation of OpenAI's Whisper speech recognition model, distributed under MIT license. Third-party licenses are listed in the OSS Licenses Annex accessible from the app or our documentation repository.
12. Legal Warranty of Conformity (Consumers – France/EU)
We provide a digital service conforming to the contract. In case of defect, you have the right to conformity, price reduction or resolution according to legal conditions. You also benefit from necessary updates to maintain conformity during the subscription.
Summary of legal warranty: For consumers, the professional is liable for non-conformity defects appearing during the digital service provision period. You have the right to free conformity within a reasonable time, or failing that to price reduction or contract resolution. This legal warranty applies independently of any commercial warranty.
13. Liability
Within legal limits: (i) we are not liable for indirect damages (data loss, loss of profit, reputation damage); (ii) our total liability under a subscription is capped at 12 months of subscriptions actually paid by the concerned user. No clause limits our liability for gross negligence, fraud, harm to life/physical integrity, or mandatory legal warranties.
14. Force Majeure
Neither party is liable for failure due to an external, irresistible and unforeseeable event (e.g., general network failure, disasters, administrative decisions, conflicts, etc.).
15. Consumer Mediation (B2C)
In case of dispute, you can first write to us at hello@weesperneonflow.ai. If the response does not satisfy you, you can resort to consumer mediation free of charge.

16. Applicable Law – Jurisdiction
- Applicable law: French law
- Jurisdiction: for disputes with a consumer, jurisdiction of the courts of the consumer's place of residence. For B2B disputes, exclusive jurisdiction of Paris courts.
17. ToS Modifications
We may modify these ToS at any time. Substantial modifications (particularly price) are notified 30 days before entry into force. Continued subscription after entry into force constitutes acceptance.
